COMPANY:

Our client, who are widely regarded as an industry leader across the Media & Advertising industries, are building out their leadership team and are looking to hire a Director Corporate Development. This position will focus on activities including mergers, acquisitions, divestitures, joint ventures, reorganizations, integrations, and organic growth opportunities.

ROLE:

Primary responsibilities will include strategic target analysis, financial modeling, valuations, project management and presentations, while partnering with the CFO, COO, CTO and CSO of the group and portfolio companies.

The ideal candidate must have 8+ years of relevant experience at a leading investment bank or private equity firm. This is a newly created position that will have responsibilities of managing a team.

• Lead execution of all mergers, acquisitions, investments and joint ventures as well as divestitures by the company

• Monitor existing acquisition portfolio, including status of earnouts and put/call option payments

• Lead deal teams in sourcing, analysis, due diligence, and negotiation with acquisition targets

• Develop strategic and financial support presentations on transaction opportunities for review with senior management and the board of directors

• Partner with divisions to execute divestitures, re-organizations and strategic investments

• Perform market research to understand key risks, opportunities and trends impacting an investment target or business opportunity

• Standardize methodology and assumptions for valuation of targets across the group

• Assist in structuring and executing transactions

• Participate in due diligence processes and liaise with internal and external transaction teams

• Analyze acquisition performance for senior management and the board of directors

• Maintain deal database and internal reporting functions

• Collaborate closely with other groups such as FP&A, Tax, Treasury, Insurance and Legal

• Other ad hoc analytical projects as needed

REQUIREMENTS:

• 8+ years relevant experience in corporate development at a major international corporation or at a leading investment bank, strategy consultancy or private equity firm is required

• MBA Degree from top tier program preferred, but not required for exceptional candidates who may have been promoted multiple times

• Familiarity with media / advertising industry strongly preferred

• Capacity to lead large project teams with people and drive them to successful completion

• Ability to integrate and work in a constructive and positive manner with senior executives

• Build dynamic, flexible, detailed and accurate financial models which portray company operations and transactions

• Exposure to legal documentation (e.g., term sheets, purchase agreements) a plus, but not required

• Ability to communicate (both written and orally) the results and conclusions to senior audiences

• Ability to work well under pressure, juggle multiple tasks, and work efficiently against tight deadlines while maintaining vigilant attention to detail

• Team player with demonstrated ability to work effectively with other team members in multiple groups and regions

• Ability to collaborate and build credibility across multiple lines of business & corporate functions

• Exceptional interpersonal and organizational skills
