COMPANY:
Our client is a rapidly growing international organization who provide products and services from Telecommunications, Media & Technology (TMT) into emerging markets. Due to YoY growth, they have retained The Barton Partnership to lead their executive search for an experienced VP M&A, Business Development & Strategy professional, to be the “Head of” their M&A division and lead all inorganic growth initiatives.
ROLE:
- Create a single database with all LatAm M&A targets, mapping our inorganic options in the region
- Standardize methodology and assumptions for valuation of targets across the group (e.g. harmonize comps of multiples, WACC, synergies, etc.) and align with the organic valuation metrics
- Manage the M&A funnel through all stage gates, approvals and prepare for weekly Business Development Update meetings with the CEO
- Liaise with key stakeholders (CEO, CFO, COO, CTIO, General Counsel and Regional Executives)
- Conduct the valuation for the targets (i.e., build the financial projections and models.)
- Prepare M&A materials, documentation (NDA, NBO, BO) and approval requests for the Board
- Lead the discussions and negotiations with various external parties, as part of the M&A process: external lawyers, investments banks, consultants, shareholders or executives of targets
- Lead the due diligence process for targets (e.g., strategic, technical, commercial, finance, etc.)
- Finalize and close purchase agreements
- Coach and develop an M&A Manager / Director Reports
REQUIREMENTS:
- Must have 10+ years of related experience in M&A and Financial Due Diligence (FDD), along with Corporate Strategy, Business Development
- Experience from Consulting, Investment Bank, Big4 or Multinational (Ideally someone who’s worked within these and transitioned into industry)
- Proven experience managing M&A, Strategy and Business Development in emerging markets
- Ability to lead large complex projects with stakeholders in different regions
- Demonstrated ability to lead cross-functional projects and achieve desired results.
- Strong analytical background and ability to manage analysts
- Strong organization and process management
- Ability to work independently while being guided by a senior integration leader
- Willingness to travel as needed
- Experience in M&A integrations with fast-growing companies is a plus
